By accessing, registering for, or using Outstand's API social media scheduling service ("Service"), you ("User," "you," or "your") agree to be legally bound by these Terms of Service ("Terms," "Agreement"). This Agreement constitutes a legally binding contract between you and Outstand ("we," "us," or "our").
If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

Outstand provides an API-only social media scheduling and publishing service that allows developers and businesses to programmatically schedule, manage, and publish content across multiple social media platforms, including but not limited to Twitter/X, LinkedIn, Facebook, Instagram, and other supported platforms ("Supported Platforms").
Our Service operates on a usage-based pricing model and provides API endpoints, documentation, and supporting infrastructure to facilitate social media content management. The Service is designed for integration into third-party applications and does not include a native user interface beyond account management.

This license terminates when your User Content is deleted from our systems.
The Service, including its software, APIs, documentation, design, logos, trademarks, and all related intellectual property, are and remain the exclusive property of Outstand and our licensors. These Terms do not grant you any rights to:

User Content is processed in real-time and delivered to Supported Platforms, with temporary caching only as necessary for service operation (typically less than 24 hours). We retain metadata, usage logs, and API request data as described in our Privacy Policy.
Our Service integrates with Supported Platforms through their respective APIs. Your use of these platforms is subject to their individual terms of service, privacy policies, and acceptable use policies. You are responsible for:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OUTSTAND, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DAMAGES WHATSOEVER.

To the extent permitted by law, our total liability to you for all claims arising from or related to the Service shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

You agree to indemnify, defend, and hold harmless Outstand, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

Upon termination by us for cause, no refunds will be provided. We reserve the right to refuse service to anyone for any reason at any time.

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Sweden.
Before filing a claim, you agree to attempt to resolve any dispute informally by contacting support@outstand.so. We will attempt to resolve the dispute informally within 60 days. If the dispute is not resolved within 60 days, either party may pursue formal dispute resolution.
To the extent permitted by law, all claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Outstand regarding the Service and supersede all prior agreements and understandings.
We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through our Service at least 30 days before changes take effect. Material changes that affect pricing or fundamental service features will be communicated with clear notice.
Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must terminate your account before the changes take effect.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of Outstand.
You may not assign, transfer, or delegate these Terms or your rights and obligations without our prior written consent. We may freely assign these Terms. Any attempted assignment in violation of this provision is void.
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, labor disputes, epidemics, government actions, communication or power failures, or equipment failures.
You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any prohibited or restricted party list.
All notices to you will be sent to the email address associated with your account. Notices to us should be sent to support@outstand.so. Notices are deemed received when sent via email (if to you) or when actually received (if to us).
